Terms and Conditions for Availing Rachmanas Products and Services

1. Introduction and Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Rachmanas (“Company,” “we,” “our,” or “us”), a behavioural counselling and well-being platform operating under the laws of India.

By accessing, browsing, registering on, or using the Rachmanas website, mobile applications, digital interfaces, counselling services, AI-enabled tools, or any associated services (collectively, the “Platform”), you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms in full, you must immediately discontinue access and use of the Platform.

These Terms apply to all Users, including individuals accessing services directly and those accessing services through employer-sponsored or third-party arrangements.

Continued use of the Platform following any modification of these Terms constitutes acceptance of the revised Terms.

2. Definitions and Interpretation

For the purposes of these Terms:

Headings are for convenience only and shall not affect interpretation. Words importing the singular include the plural and vice versa. References to statutes include amendments and re-enactments.

3. Eligibility and Age Restrictions

Access to the Platform is limited to individuals who are eighteen (18) years of age or older.

By registering or using the Platform, you represent and warrant that:

  1. You are at least eighteen (18) years old;
  2. You possess the legal capacity to enter into a binding contract under applicable law; and
  3. All information provided during registration is accurate and complete.

Rachmanas reserves the right to suspend or terminate accounts where age misrepresentation is detected.

The Platform does not provide services to minors, and no parental or guardian consent mechanism is presently supported.

4. Nature of Relationship

4.1 No Doctor–Patient or Psychiatrist–Patient Relationship

Use of the Platform does not create a doctor–patient, psychiatrist–patient, or medical practitioner–patient relationship between the User and Rachmanas or any Counsellor.

Rachmanas does not provide medical advice, psychiatric diagnosis, or pharmacological treatment.

4.2 No Clinical Psychotherapy Relationship

Rachmanas provides behavioural counselling services only. The Platform does not offer clinical psychotherapy or treatment for psychiatric disorders as defined under applicable medical or mental healthcare laws.

Nothing within the Platform shall be construed as:

Users requiring diagnosis or treatment for mental health disorders must consult licensed clinical psychologists or psychiatrists independently.

4.3 Nature of Counselling Relationship

The relationship between User and Counsellor is limited to non-clinical behavioural guidance focused on personal development, stress management, workplace resilience, relational concerns, ageing-related adjustment, and exam-related stress.

Counselling provided through the Platform is supportive and developmental in nature. It is not healthcare treatment under medical regulation.

4.4 Platform as Intermediary

Rachmanas acts as a technology-enabled facilitator of behavioural counselling services. While Counsellors are engaged by Rachmanas, the Platform itself is not a healthcare establishment and does not hold itself out as a medical institution.

5. Scope of Services and Limitations

5.1 Behavioural Counselling

Rachmanas provides structured behavioural counselling services designed to support:

5.2 Distinction from Clinical Psychotherapy

Behavioural counselling differs from clinical psychotherapy in that:

Users experiencing symptoms consistent with clinical depression, bipolar disorder, psychosis, severe trauma disorders, substance dependence, or other diagnosable psychiatric conditions should seek licensed clinical or psychiatric care independently.

5.3 Distinction from Psychiatric Services

Rachmanas does not:

Any medication-related decisions must be made exclusively with a licensed medical practitioner.

5.4 Crisis Intervention Exclusion

Rachmanas is not an emergency service and does not provide crisis intervention.

The Platform is not appropriate for Users experiencing:

Rachmanas disclaims responsibility for failure to seek emergency care where required.

5.5 No Guarantee of Outcomes

Rachmanas does not guarantee specific outcomes, improvements, or results from counselling services. Progress depends on multiple factors, including User engagement, personal circumstances, and external variables beyond the Company’s control.

6. Counsellor Qualifications and Ethical Compliance

6.1 Engagement Standards

Rachmanas engages Counsellors who possess relevant academic qualifications and training in behavioural counselling, psychology, or related disciplines from education and training institutes recognized by Indian ( state or union) governing bodies, as determined appropriate by the Company.

6.2 Scope of Practice
Counsellors shall provide services strictly within the defined scope of behavioural counselling as set forth in Part I of these Terms. Counsellors shall not provide clinical psychotherapy, psychiatric treatment, medical advice, or emergency intervention through the Platform.

6.3 Ethical Conduct

Counsellors are required to adhere to:

While Counsellors are engaged by Rachmanas, they retain professional discretion in conducting sessions within the permitted scope of services. However, such discretion does not extend to clinical diagnosis, medical treatment, or services outside the defined scope of behavioural counselling.

6.5 No Professional Guarantee

Rachmanas does not guarantee that a specific Counsellor will be available at all times. The Company reserves the right to reassign Users to alternate Counsellors where necessary.

7. Platform Role versus Counsellor Role

The Platform does not provide real-time or asynchronous counselling communication.

Messaging tools, where available, are limited to structured data submission and administrative coordination.

7.1 Role of the Platform
Rachmanas operates as a technology-enabled behavioural counselling platform facilitating scheduling, communication, AI-supported behavioural insights, reporting, and administrative coordination.

7.2 Role of the Counsellor
The Counsellor provides structured behavioural counselling sessions within the defined scope of services. Counsellors rely on professional judgment within the non-clinical framework permitted by these Terms.

7.3 AI-Assisted Support
Where AI Services are used to support pattern recognition, behavioural insights, scheduling, or reporting, such tools operate strictly as assistive technologies. Final interpretation and feedback, where provided, remain subject to human review.

7.4 No Agency Beyond Scope
Nothing in these Terms shall be construed to create:

8.1 Employer-Sponsored Access
Where services are provided through an employer, institution, or corporate entity (“Corporate Client”), the User acknowledges that access may be funded or facilitated by such entity.

8.2 Confidentiality of Individual Sessions
Individual counselling sessions remain confidential between the User and Counsellor, subject to limitations set forth in Part I and applicable law.

Rachmanas shall not disclose individual session content to a Corporate Client unless:

Rachmanas may provide Corporate Clients with anonymised and aggregated reports reflecting utilisation trends, general well-being metrics, or program effectiveness. Such reports shall not contain personally identifiable information.

Personal session data shall not be shared with Corporate Clients for performance evaluation, disciplinary action, or employment decisions.

8.5 Corporate Misuse
Corporate Clients shall not:

9. Session Conduct Rules

9.1 Lawful and Respectful Conduct

Users agree to use the Platform and participate in all individual or group sessions in a lawful, respectful, and socially appropriate manner.

Participation in any session—whether individual or group-based—constitutes agreement to uphold standards of dignity, non-harassment, and lawful conduct.

9.2 Prohibited Conduct

The following conduct constitutes misuse of the Platform and may result in immediate suspension or termination:

  1. Each User is individually responsible for their conduct and statements.
  2. Users must refrain from making defamatory, harmful, or legally actionable statements toward other participants.
  3. Users must respect the confidentiality of other participants and shall not disclose personal disclosures made within the group outside the session context.

9.4 Liability in Inter-Participant Disputes

  3. Attempted cancellation shortly before session commencement;
  4. Late arrival resulting in loss of session time;
  5. Use of multiple or alternate contact details, phone numbers, or identities to obtain first-time user discounts, promotional pricing, or other onboarding benefits more than once;
  6. Registration using false, misleading, incomplete, or fabricated identity information;
  7. Deliberate concealment or falsification of material facts during registration or booking that materially affects service eligibility;
  8. Any fraudulent or deceptive conduct intended to misuse promotional benefits or booking privileges.

Session time begins and ends as per the scheduled slot, irrespective of User punctuality.

Where Rachmanas determines, acting reasonably and in good faith, that a booking was secured through fraudulent misrepresentation or abuse of promotional policies:

For clarity, Rachmanas does not assess the truthfulness of subjective emotional disclosures during counselling. However, material identity misrepresentation or fraudulent conduct affecting service access shall constitute misuse of the Platform.

11.5 Client-Side Technical Failures

Rachmanas shall not be responsible for sessions that cannot proceed due to:

  4. Access to future promotions may be restricted;
  5. The User’s account may be suspended or permanently terminated.

11.13 Bundled or Prepaid Session Discounts

Where Users receive discounted pricing by prepaying for multiple sessions:

No User shall be named, identified, photographed, recorded, quoted, or otherwise publicly referenced in any marketing material, promotional campaign, testimonial publication, or public communication without the User’s prior explicit written consent.

Rachmanas may, from time to time, use different names, descriptors, taglines, or branding terminology to describe its counselling categories, programs, or service offerings for marketing, positioning, or communication purposes.

Such alternative names, synonyms, or thematic descriptors shall not:

12.5 Testimonials and Editorial Rights

Where a User provides explicit written consent to publish a testimonial, whether in text, audio, video, or any other format, Rachmanas may use such testimonial for marketing, promotional, educational, or awareness purposes.

Final interpretation, contextualisation, and delivery of behavioural feedback shall remain under the supervision of a qualified Counsellor.

15.2 No Sole Reliance on Automation

Rachmanas does not rely exclusively on automated systems for decision-making in counselling services.

No significant decision affecting a User’s access to counselling services shall be made solely by automated processing without human involvement.

16. Algorithmic Transparency

16.1 Nature of AI Processing

AI Services may analyse User-submitted data, including questionnaire responses and behavioural inputs, to identify patterns and generate structured insights.

Such processing is statistical and probabilistic in nature and may involve predictive modelling.

16.2 No Guarantee of Accuracy

Users acknowledge that AI-generated outputs:

17. No Automated Clinical or Legal Decision-Making

AI Services deployed by Rachmanas:

The Platform does not engage in automated decision-making that produces legal or similarly significant effects on Users within the meaning of applicable data protection regulations.

18. Bias, Fairness, and Limitations

18.1 Recognition of Algorithmic Limitations

Users acknowledge that AI systems may reflect inherent limitations, including but not limited to:

18.2 No Representation of Objectivity

AI-generated insights are not representations of objective truth or definitive psychological assessment. They are interpretative tools intended to assist behavioural reflection.

19. User Responsibility for Interpretation

Users acknowledge and agree that:

22. Status as Data Fiduciary

22.1 Role Under Applicable Law

Rachmanas acts as a “Data Fiduciary” within the meaning of the Digital Personal Data Protection Act, 2023 (“DPDP Act”), as it determines the purpose and means of processing personal data collected through the Platform.

As a Data Fiduciary, Rachmanas undertakes to process personal data:

The Platform and services are provided on an “as is” and “as available” basis.

41. Ownership of Intellectual Property

41.1 Trademark Rights

The name “Rachmanas,” associated logos, brand identifiers, taglines, visual elements, and related marks constitute proprietary intellectual property of Rachmanas and/or its founder.

Upon registration, such marks shall be protected under applicable trademark laws in India and other jurisdictions as applicable.

No User is granted any license, ownership interest, or right to use such trademarks except for personal, non-commercial access to the Platform.

Unauthorised use of the Rachmanas name or branding may result in legal action.

41.2 Proprietary Frameworks and Assessment Tools

All proprietary materials developed or used by Rachmanas, including but not limited to:

42. Ownership of Session Records and Recordings

Such disclosure shall be limited strictly to legally mandated scope.

43. User-Generated Content

Where Users submit responses to exercises, questionnaires, or reflections:

Users warrant that submitted content does not violate third-party rights.

44. Protection Against Reverse Engineering and Competitive Misuse

Users must not:

Any attempt to create derivative or competing services based on Rachmanas intellectual property shall constitute material breach.

45. Preservation of Goodwill

All goodwill arising from use of the Rachmanas name, brand, or proprietary systems shall accrue exclusively to Rachmanas.

Users shall not engage in conduct that dilutes, disparages, or misrepresents the brand.

46. Amicable Resolution

In the event of any dispute, claim, controversy, or disagreement arising out of or relating to these Terms, the Platform, counselling services, AI services, intellectual property, data processing, or any associated matter (“Dispute”), the parties shall first attempt to resolve the Dispute amicably.

The aggrieved party shall provide written notice describing the nature of the Dispute. The parties shall make good faith efforts to resolve the Dispute within sixty (60) days from the date of such notice.

47. Mandatory Arbitration

47.1 Arbitration Requirement

If the Dispute is not resolved amicably within the prescribed period, it shall be referred to and finally resolved by arbitration.

Arbitration shall be the exclusive mechanism for resolution of disputes prior to initiation of court proceedings, except for interim relief or enforcement purposes.

47.2 Governing Law

These Terms and all Disputes shall be governed by and construed in accordance with the laws of India.

47.3 Seat and Venue of Arbitration

The seat and legal place of arbitration shall be Delhi, India.

The venue of arbitration proceedings shall be Delhi, unless otherwise mutually agreed in writing.

47.4 Appointment of Arbitrator

The arbitration shall be conducted by a sole arbitrator.

The sole arbitrator shall be appointed by mutual agreement between the parties.

If the parties fail to agree upon the appointment of an arbitrator within thirty (30) days of invocation of arbitration, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended.

47.5 Procedure and Language

The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The proceedings shall be conducted in the English language.

The arbitral award shall be binding upon the parties, subject to any rights of challenge available under applicable law.

47.6 Confidentiality

All arbitration proceedings, including submissions, documents, evidence, and awards, shall remain confidential except where disclosure is required for enforcement, regulatory compliance, or by order of a competent authority.

48. Exclusive Jurisdiction of Courts

Subject to the arbitration provisions:

49. Waiver of Class or Representative Actions

To the fullest extent permitted by law, Disputes shall be resolved on an individual basis only.

Users waive the right to initiate or participate in any class action, collective action, or representative proceeding against Rachmanas.

50. Survival

The dispute resolution provisions shall survive termination of services and termination of these Terms.

51. Clinical Risk Escalation Protocol

Rachmanas provides behavioural counselling services only and does not operate as a crisis intervention service, psychiatric emergency provider, or medical establishment.

If, during any session, a Counsellor identifies indicators of:

the Counsellor may, in their professional discretion:

Such suspension or termination shall not constitute breach of contract, deficiency of service, or professional negligence.

51.1 Refund Position in Risk Escalation Cases

Where a session is suspended or terminated due to risk escalation:

If, at its sole discretion, Rachmanas elects to provide a refund, liability shall be strictly limited to the fee paid for the affected session only.

Under no circumstances shall Rachmanas be liable to refund cumulative fees for prior sessions completed with the User.

51.2 Treatment of Prepaid Future Sessions

Where the User has prepaid for future scheduled sessions at the time of termination under this Section:

  1. The session immediately following the terminated session shall be non-refundable if scheduled within fifteen (15) working days of the terminated session, due to committed scheduling allocation and operational preparation.
  2. Any subsequent prepaid sessions scheduled more than fifteen (15) working days after the terminated session shall be eligible for refund, subject to reasonable deduction of administrative and scheduling costs.
  3. If a prepaid session is scheduled within fifteen (15) working days of the terminated session, such amount may be forfeited due to blocked professional time and calendar commitment.

Refunds, where applicable, shall apply only to eligible future sessions and shall not extend to previously completed sessions.

51.3 No Continuing Duty of Care

Following suspension or termination under this Section, Rachmanas shall not assume ongoing responsibility for monitoring, supervising, or managing the User’s psychological condition beyond advising appropriate external intervention.

The responsibility for seeking emergency or clinical care shall rest solely with the User.

51.4 Booking After Clinical Referral, Discontinuation, or Restriction

Where services are discontinued under this Section and the User is expressly informed by the Counsellor or Rachmanas that:

the User shall not attempt to book further sessions unless expressly authorised in writing by Rachmanas.

If the User, despite such notice:

such conduct shall be deemed:

In such circumstances:

  1. Rachmanas reserves the right to decline to render counselling services for such sessions;
  2. Any fees paid for such unauthorised bookings shall be non-refundable;
  3. Access to the Platform may be permanently restricted;
  4. Rachmanas may take reasonable technical and administrative measures to prevent further misuse.

This provision applies regardless of the method used to re-access the Platform.

52. Suicide and Self-Harm Limitation of Liability

The Platform is not designed for continuous monitoring of suicidal behaviour, self-harm risk, or psychological deterioration outside scheduled sessions.

Rachmanas does not:

Users experiencing thoughts of suicide, self-harm, or psychiatric emergency must immediately contact local emergency services, a licensed medical practitioner, or an official crisis helpline.

Rachmanas disclaims liability for outcomes resulting from failure to seek emergency intervention.

53. Refusal or Discontinuation of High-Risk Cases

Rachmanas reserves the right to refuse, suspend, or discontinue services where:

Such refusal or discontinuation shall not constitute negligence, breach of duty, or deficiency of service.

Where appropriate, referral guidance may be provided. Rachmanas does not guarantee placement or acceptance by external providers.

54. Non-Reliance Clause

Users acknowledge that:

Users agree that they are not relying exclusively on Rachmanas for medical diagnosis, psychiatric treatment, emergency intervention, or prevention of self-harm.

No representation is made that the Platform can eliminate mental illness, prevent suicide, or replace formal medical care.

55. Client Responsibility Statement

Users accept responsibility for:

Participation in counselling does not transfer personal decision-making responsibility to Rachmanas or its Counsellors.

57. Scope of Corporate Services

Rachmanas may provide behavioural well-being services to organisations, institutions, or corporate entities (“Corporate Clients”) under Workplace Resilience Counseling programs.

All corporate services remain subject to the limitations and scope defined in these Terms.

Rachmanas does not provide clinical psychotherapy, psychiatric treatment, medical diagnosis, or crisis intervention under corporate programs.

58. Employer-Sponsored Access

Where access to the Platform is sponsored by a Corporate Client:

Payment by an employer does not grant the employer access to confidential session content.

59. Data Separation: Employer and Employee

Rachmanas maintains strict separation between:

Rachmanas shall not be responsible for misuse of data occurring within the Corporate Client’s internal systems after lawful transfer of aggregate reports.

63. Corporate Client Obligations

Corporate Clients agree that they shall not:

64. Limitation of Employer Reliance

Corporate Clients acknowledge that:

Rachmanas shall not be liable for employment decisions taken by Corporate Clients based on aggregate program insights.

65. Governing Language and Precedence

These Terms constitute the controlling legal document governing the relationship between the User and Rachmanas.

In the event of any inconsistency or conflict between:

No marketing communication shall create legal obligations beyond those expressly set forth herein.

66. Amendments and Version Control

Rachmanas reserves the right to modify, update, or revise these Terms at any time for legal, regulatory, operational, or business reasons.

67. Age, Capacity, and Voluntary Agreement

68. No Employment, Partnership, or Agency Relationship

69. Electronic Acceptance and Digital Validity

By clicking “I Agree,” registering an account, booking a session, making payment, or otherwise accessing the Platform, the User acknowledges and agrees that:

Electronic records, digital communications, and system logs maintained by Rachmanas shall be admissible as evidence of acceptance and usage, subject to applicable law.

70. No Professional Advice Warranty (AI and Behavioural Insights)

The Platform, including AI-generated outputs, behavioural assessments, and counsellor discussions, does not constitute:

Users shall not rely on Platform outputs for legal proceedings, employment decisions, insurance claims, or medical treatment planning.

Rachmanas disclaims liability for external reliance upon behavioural insights beyond their intended supportive purpose.

71. Reservation of Rights

All rights not expressly granted to Users under these Terms are reserved by Rachmanas.

Failure to enforce any provision shall not constitute waiver of such provision or any other rights.
